1. Acceptance of Terms

By accessing or using the website located at www.emilycareerservices.com (the “Site”) or purchasing any services offered by Emily Career Services (“Company,” “we,” “us,” or “our”), you (“Client” or “you”) agree to be bound by these Terms and Conditions (“Terms”). If you do not agree to all of these Terms, you must not access or use the Site or engage our services.

These Terms constitute a legally binding agreement between you and Emily Career Services LLC. We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to the Site. Your continued use of the Site or services after any modification constitutes your acceptance of the updated Terms.

2. Services

The Services you receive are those described in the package you selected at the time of booking, as listed on our website (www.emilycareerservices.com) at that time. Booking and completing payment constitutes your agreement to the scope of that package. We reserve the right to refuse, modify, or discontinue any Service at our sole discretion, at any time, and without liability to you.

3. Payment Terms

3.1 Payment in Full

All fees for Services are due in full at the time of booking, prior to the commencement of any coaching sessions or the delivery of any program materials.

3.2 Payment Processing

All payments are processed securely through Stripe, a third-party payment processor. By completing a purchase, you agree to Stripe’s Terms of Service and Privacy Policy, available at stripe.com. Accepted payment methods and any buy-now-pay-later or financing options displayed at checkout are determined by Stripe and may vary by client location or account. Emily Career Services LLC is not a party to any financing arrangement offered by Stripe or its partners, and the terms of any such arrangement are solely between you and the financing provider.

3.3 Program Access Upon Payment

Upon receipt of payment in full, you will be granted immediate access to the Emily Career Services LLC teaching catalog (the “Program”), which includes digital video lessons, written materials, templates, and other resources. Coaching sessions are scheduled separately and are designed to support your execution of the Program. Please review our Refund Policy in Section 4 before completing your purchase.

4. Refund and Cancellation Policy

4.1 All Sales Final — No Refunds

ALL FEES PAID TO EMILY CAREER SERVICES LLC ARE NON-REFUNDABLE. BY COMPLETING YOUR PURCHASE, YOU ACKNOWLEDGE AND AGREE THAT NO REFUND WILL BE ISSUED FOR ANY REASON, INCLUDING BUT NOT LIMITED TO: DISSATISFACTION WITH THE SERVICES, A CHANGE IN PERSONAL CIRCUMSTANCES, FAILURE TO USE THE PROGRAM OR COACHING SESSIONS, OR EARLY TERMINATION OF THE ENGAGEMENT.

4.2 Session Cancellation and Rescheduling

While fees are non-refundable, we understand that schedules change. You may reschedule a coaching session by providing written notice at least forty-eight (48) hours before the scheduled session time. Rescheduling requests received with less than 48 hours’ notice will result in forfeiture of that session. Rescheduling does not extend the overall engagement period beyond any applicable expiration date.

4.3 Exceptional Circumstances

In cases of documented medical emergency or other extraordinary circumstances, Emily Career Services LLC may, at its sole discretion, offer to reschedule outstanding coaching sessions to a future date. This is not a guarantee and does not constitute a waiver of the no-refund policy. Any such determination is final and not subject to further appeal.

4.4 Chargebacks

You agree to contact us at emily@emilycareerservices.com before initiating any chargeback or dispute with your payment provider. Initiating a chargeback without first contacting us constitutes a breach of these Terms. We reserve the right to contest any chargeback and to provide evidence of service delivery, including evidence of Program access, to the payment processor.

5. Limitation of Liability

5.1 No Guarantee of Outcomes

Emily Career Services LLC provides career coaching and related professional services based on our expertise and best efforts. HOWEVER, WE MAKE NO GUARANTEE, REPRESENTATION, OR WARRANTY THAT YOU WILL OBTAIN EMPLOYMENT, RECEIVE A PROMOTION, ACHIEVE ANY SPECIFIC SALARY OR COMPENSATION LEVEL, OR ATTAIN ANY OTHER SPECIFIC CAREER OUTCOME AS A RESULT OF OUR SERVICES. Career outcomes depend on numerous factors outside our control, including but not limited to employer decisions, labor market conditions, your qualifications, and your own efforts.

5.2 Disclaimer of Warranties

THE SITE AND ALL SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

5.3 Cap on Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL EMILY CAREER SERVICES LLC, ITS OWNERS, EMPLOYEES, CONTRACTORS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICES, INCLUDING LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN ANY EVENT, OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT ACTUALLY PAID BY YOU TO US IN THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE CLAIM.

5.4 Indemnification

You agree to defend, indemnify, and hold harmless Emily Career Services LLC and its owners, officers, employees, contractors, and agents from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorney’s fees) arising out of or related to: (a) your use of the Services; (b) your violation of these Terms; or (c) your violation of any third-party rights.

6. Intellectual Property

All content on the Site, including text, graphics, logos, images, and course or coaching materials created by Emily Career Services LLC, is the exclusive property of Emily Career Services LLC and is protected by applicable copyright, trademark, and intellectual property laws.

Deliverables created specifically for you (such as your personalized resume or cover letter) are licensed to you for your personal, non-commercial career use only. You may not resell, sublicense, or share such deliverables with third parties for commercial purposes without our prior written consent.

You retain ownership of all personal information, materials, and background documentation you provide to us. By providing such materials, you grant us a limited license to use them solely for the purpose of delivering the Services.

7. Confidentiality

We understand that you may share sensitive personal and professional information with us in the course of receiving Services. We will maintain the confidentiality of such information and will not disclose it to third parties except: (a) as required by law; (b) with your prior written consent; or (c) to service providers who assist us in delivering Services and who are bound by confidentiality obligations no less protective than those set forth herein.

We may use anonymized, non-identifiable information about client outcomes and experiences for marketing and business improvement purposes.

8. Client Conduct

You agree to engage with our Services in good faith and to provide accurate, complete, and truthful information. You agree not to:

• Use the Services for any unlawful purpose or in violation of any applicable regulations.
• Harass, threaten, or abuse any Emily Career Services LLC personnel.
• Attempt to gain unauthorized access to the Site or any associated systems.
• Reproduce, distribute, or create derivative works from our proprietary materials without written authorization.

We reserve the right to immediately terminate Services and retain all fees paid in the event of a material breach of this section.

9. Privacy Policy

Your use of the Site and Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our Services, you consent to the collection and use of your information as described in the Privacy Policy available on the Site.

10. Dispute Resolution

10.1 Informal Resolution

Before initiating any formal proceeding, you agree to first contact us at emily@emilycareerservices.com and provide a written description of the dispute. We will attempt to resolve the dispute informally within thirty (30) days of receipt.

10.2 Binding Arbitration

If the dispute is not resolved informally, any controversy or claim arising out of or relating to these Terms or the Services shall be settled by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Appleton, Wisconsin. The arbitrator’s decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

10.3 Class Action Waiver

YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST EMILY CAREER SERVICES.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wisconsin, without regard to its conflict of law principles. To the extent any dispute is not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in Outagamie County, Wisconsin.

12. Termination

We reserve the right to suspend or terminate your access to our Services at any time, with or without cause, and with or without notice. Upon termination, all licenses granted to you under these Terms will immediately cease. Sections 3, 4, 5, 6, 10, and 11 shall survive any termination or expiration of these Terms.

13. Miscellaneous

Entire Agreement. These Terms, together with any applicable service agreement or order confirmation, constitute the entire agreement between you and Emily Career Services LLC with respect to the subject matter hereof and supersede all prior agreements and understandings.

Severability. If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.

Waiver. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

No Agency. Nothing in these Terms shall be construed to create a partnership, joint venture, employment, or agency relationship between you and Emily Career Services LLC.

Notices. All notices to Emily Career Services under these Terms must be sent in writing to emily@emilycareerservices.com.
